These Terms of Service (“Terms”) govern the sale of products and the provision of custom manufacturing services by Hebei Keyfix Trading Co., Ltd. (“KEYFIX”, “we”, “us” or “our”), operating the website keyfixpro.com, to any business customer (“Customer”, “you”) who requests a quotation, places an order, or otherwise engages our services. By requesting a quotation or placing an order, you agree to these Terms. If a separate written supply agreement is signed between KEYFIX and the Customer, that agreement prevails where it conflicts with these Terms.

1. Scope
KEYFIX manufactures and supplies custom and standard fasteners and precision machined parts, including CNC-machined parts, cold-forged parts, stamped parts, and related components, together with associated engineering, inspection, and finishing services. These Terms apply to all such products and services unless otherwise agreed in writing.
2. Quotations and Orders
- Quotations are valid for the period stated on the quotation and, where no period is stated, for thirty (30) days from the date of issue. Quotations are based on the drawings, specifications, quantities, and materials you provide at the time of inquiry.
- An order becomes binding only when KEYFIX issues a written order confirmation or proforma invoice and the Customer accepts it, or when the agreed deposit is received.
- If your specifications, quantities, materials, or delivery requirements change after the quotation, prices and lead times may be revised accordingly.
3. Prices and Payment
- Prices are quoted in the currency stated on the quotation and are exclusive of any taxes, customs duties, and import charges unless expressly stated.
- Payment terms are those stated on the order confirmation or proforma invoice (for example, a deposit on order with the balance before shipment). Unless otherwise agreed, invoices are payable without deduction or set-off.
- Bank charges levied outside KEYFIX’s bank are borne by the Customer. KEYFIX may suspend production or delivery while any undisputed amount remains overdue.
4. Tooling
Where a project requires dedicated tooling, dies, or fixtures, any tooling charge is stated separately on the quotation. Unless otherwise agreed in writing, KEYFIX retains ownership, custody, and the right to maintain and replace tooling used in its own production, even where a tooling charge has been paid. KEYFIX will keep project tooling available for repeat orders for a reasonable period.
5. Customer Drawings, Intellectual Property and Confidentiality
- You retain ownership of the drawings, specifications, and technical data you supply. You warrant that you have the right to supply them and that manufacturing to them does not infringe any third party’s intellectual property rights.
- KEYFIX treats Customer drawings, specifications, samples, and order details as confidential and uses them only to prepare quotations and fulfil orders. We do not disclose them to third parties except to sub-suppliers and service providers bound by confidentiality, or where required by law.
- KEYFIX retains all rights in its own manufacturing processes, know-how, tooling designs, and improvements, which are not transferred to the Customer.
6. Samples and Approval
Where samples, first articles, or PPAP documentation are required, production of the balance proceeds after the Customer’s written approval of the samples or, where the Customer does not respond within the agreed review period, after that period expires. Approved samples define the agreed standard for the production lot.
7. Delivery, Title and Risk
- Delivery terms follow the Incoterms stated on the order confirmation (for example, FCA at our production base, or FOB Shenzhen Yantian Port). Risk passes to the Customer in accordance with the agreed Incoterm.
- Title to the goods passes to the Customer upon full payment of the corresponding invoice.
- Lead times are good-faith estimates based on the agreed scope and are measured from order confirmation or sample approval, as applicable. KEYFIX is not liable for delays caused by changes in scope, late approvals, late payment, or events beyond its reasonable control.
- For custom-manufactured goods, a commercially reasonable over- or under-delivery in quantity may occur and is invoiced at the unit price.
8. Inspection and Acceptance
KEYFIX inspects goods before shipment, with outgoing inspection performed to AQL 0.4 and a target below 25 PPM. The Customer must inspect goods on receipt and notify KEYFIX in writing of any shortage, visible damage, or non-conformity within fifteen (15) days of receipt, and of any hidden defect within a reasonable time of discovery. Goods not rejected within these periods are deemed accepted.
9. Warranty
- KEYFIX warrants that goods will, at the time of delivery, conform to the drawings and specifications agreed in the order confirmation and to the approved samples.
- For a valid, timely claim of non-conformity, KEYFIX will, at its option, repair, replace, or issue a credit or refund for the non-conforming goods. This is the Customer’s sole and exclusive remedy for non-conforming goods.
- The warranty does not cover defects or damage arising from Customer-supplied designs or materials, incorrect installation or assembly, misuse, modification, normal wear, corrosion from conditions outside the agreed specification, or storage and handling not in accordance with good practice.
10. Limitation of Liability
To the maximum extent permitted by applicable law, KEYFIX’s total liability arising out of or in connection with any order is limited to the invoiced value of the goods giving rise to the claim. KEYFIX is not liable for any indirect, incidental, or consequential loss, including loss of profit, loss of production, downtime, or recall costs. Nothing in these Terms excludes liability that cannot be excluded by law.
11. Returns and Claims
Goods may be returned only with KEYFIX’s prior written authorization. To support a claim, the Customer should provide the order number, photographs, inspection data, and representative samples of the affected goods so that KEYFIX can carry out root-cause analysis. Custom-made goods that conform to the agreed specification are not returnable for reasons of change of requirement.
12. Cancellation and Changes
Because goods are made to order, an order may be cancelled or changed after confirmation only with KEYFIX’s written agreement. In that case the Customer is responsible for work already performed, materials and tooling already committed, and other reasonable costs incurred up to the date of cancellation or change.
13. Force Majeure
KEYFIX is not liable for any failure or delay in performance caused by events beyond its reasonable control, including natural disasters, epidemics, war, strikes, fire, failure of utilities or transport, raw-material shortages, and acts of government or regulatory authorities. Affected obligations are suspended for the duration of the event.
14. Compliance and Export Control
The Customer is responsible for ensuring that the goods, and their intended use and destination, comply with all applicable laws, including import, export, and sanctions regulations in the Customer’s jurisdiction. The Customer is responsible for obtaining any import licences and for paying duties and taxes in the destination country.
15. Governing Law and Disputes
These Terms are governed by the laws of the People’s Republic of China, without regard to conflict-of-laws rules, and the United Nations Convention on Contracts for the International Sale of Goods (CISG) is excluded. The parties will first attempt to resolve any dispute amicably. Failing resolution, the dispute will be referred to arbitration administered by the China International Economic and Trade Arbitration Commission (CIETAC) in accordance with its rules then in force; the arbitral award is final and binding. (This clause can be amended to reflect any supply agreement signed with the Customer.)
16. General
- If any provision of these Terms is found invalid or unenforceable, the remaining provisions continue in full force.
- These Terms, together with the quotation and order confirmation, form the entire agreement between the parties for the relevant order and supersede prior discussions on that order.
- KEYFIX may update these Terms from time to time; the version in force at the date of order confirmation applies to that order.
